M&A Advisory

NLF Consultancy's M&A Advisory practice provides independent, senior-led advisory across the full lifecycle of mergers, acquisitions, divestments, and business combinations — for both buy-side and sell-side mandates across a range of transaction sizes and sectors.

Our team brings deep transactional experience and sector knowledge to every engagement — from identifying and approaching targets or buyers, through valuation, due diligence coordination, deal structuring, and negotiation, to post-merger integration planning.

We act as a trusted, independent advisor — not as a transaction facilitator focused on closing fees. Our mandate is to achieve the best possible outcome for our client, whether that means maximising sale value, structuring the optimal acquisition, or advising against a transaction that doesn't meet the required criteria.

What We Offer

Sell-Side Advisory

Managing the full divestment process — from preparation and positioning through to buyer identification, negotiation, and close.

Buy-Side Advisory

Identifying, evaluating, and advising on acquisition targets — including target screening, approach, due diligence, and deal negotiation.

Business Valuation

Independent business valuations using DCF, comparable company, and precedent transaction methodologies for M&A and reporting purposes.

Fairness Opinions

Independent fairness opinions on transaction prices for boards, audit committees, and minority shareholders.

Joint Venture Structuring

Advising on joint venture formations — governance, profit-sharing, exit mechanisms, and dispute resolution frameworks.

Post-Merger Integration Advisory

Supporting management through the integration planning process — organisation design, systems, and cultural alignment.

Our Process

1

Mandate & Objective Setting

We work with management and the board to define the strategic rationale, deal parameters, and success criteria for the transaction.

2

Preparation & Positioning

For sell-side mandates, we prepare the information memorandum and management presentation. For buy-side, we screen and evaluate potential targets.

3

Counterparty Engagement

We identify and approach potential buyers, targets, or partners — managing NDAs, initial meetings, and information exchange.

4

Due Diligence & Valuation

We coordinate financial, legal, and commercial due diligence — advising on findings and their implications for valuation and deal structure.

5

Negotiation & Signing

We lead commercial negotiations on price, structure, representations, warranties, and conditions precedent — through to signing of definitive agreements.

6

Closing & Post-Close

We manage regulatory approvals, closing conditions, and completion mechanics — and remain available for post-close integration support.
